Date:10-31-2012
Nufarm Limited today announced that its Board has approved the appointment of a non-executive director representing the interests of 23% shareholder Sumitomo Chemical Company (SCC).
Mr Toshikazu Takasaki will join the Nufarm Board with effect from the conclusion of Nufarm's AGM on 6 December. Mr Takasaki is a former executive of SCC who held senior management positions in businesses relating to crop protection, both within Japan and in the US. He is now a business consultant.
Nufarm’s Chairman, Donald McGauchie welcomed Mr Takasaki’s appointment, saying he will bring broad industry and international experience to the Board.
In a shareholder agreement executed in relation to SCC’s initial 20% investment in Nufarm, SCC was given the right to nominate one director to the Nufarm Board. Nufarm and SCC have agreed a protocol that will ensure potential conflicts relating to the disclosure of commercial or competitively sensitive information is appropriately managed at Board level.
